These Terms are governed by the laws of the State of Delaware, U.S.A. Any disputes shall first be attempted to be resolved by mediation and, if unresolved, shall be submitted to binding arbitration under the Commercial Arbitration Rules of the American Arbitration Association. The arbitration will take place in Delaware.
